1. Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," "User") and NxtStop LLC, a New Jersey limited liability company ("NxtStop," "we," "us," "our"), regarding your access to and use of the CashAI mobile application, website, and related services (collectively, the "Service").

By downloading, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. Continued use after any update constitutes acceptance of the revised Terms.

Important: These Terms include a mandatory arbitration provision and class action waiver (Section 13).

The Service is currently available only to residents of the United States.

2. Description of the Service

CashAI is a personal finance and spending-management application that provides tools including:

Financial Account Aggregation: Secure, read-only connection to your financial accounts through our third-party provider (currently Plaid).
Transaction Categorization: Automatic grouping and labeling of transactions.
Subscription Tracking: Detection of recurring charges.
Spending Analytics: Reports, summaries, and visualizations.
Budgeting: Ability to set spending budgets for certain categories and track progress against them.

We may add, remove, or modify features at any time without liability.

Not Financial Advice

All information provided through the Service is for informational and educational purposes only. We do not provide financial, investment, tax, or legal advice. You are solely responsible for your financial decisions.

3. Eligibility and Account Requirements

3.1 Eligibility

You must:

Be at least 18 years old;
Have legal capacity to enter a binding contract;
Not be prohibited from using the Service under applicable law;
Reside in a U.S. state or territory where the Service is available.

3.2 Account Creation and Security

When creating an account, you agree to:

Provide accurate and current information;
Maintain the security of your login credentials;
Not share your account with others;
Not impersonate any person or entity;
Be fully responsible for all activity under your account, authorized or not.

We may suspend or terminate your account for providing false information or violating these Terms.

3.3 Verification

We may require identity or information verification to prevent fraud or comply with legal requirements. Failure to comply may result in suspension or termination.

4. Financial Data, Third-Party Providers, and Security

4.1 Financial Data Access

You authorize us and our third-party data provider (currently Plaid) to access your financial account information on your behalf.

We do not collect or store your bank login credentials.
All financial data retrieval is performed through Plaid in accordance with Plaid's terms and privacy policy.

4.2 Accuracy of Data

You are responsible for any data you manually input. Data retrieved from financial institutions may not always be accurate or up-to-date.

4.3 Security

We use industry-standard encryption and security measures. No method of electronic transmission or storage is perfectly secure, and we do not guarantee absolute security.

5. Prohibited Uses

You may not use the Service to:

Violate laws or regulations;
Commit fraud or deceptive practices;
Upload harmful, illegal, or infringing content;
Attempt to access systems without authorization;
Interfere with or disrupt the Service;
Reverse engineer, modify, or decompile the Service;
Use automated scripts, bots, or scraping tools;
Use the Service for commercial purposes without written permission.

6. Intellectual Property; License

All content, trademarks, and functionality of the Service are owned by NxtStop LLC or its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not copy, distribute, modify, or create derivative works of the Service.

Feedback

Any feedback, suggestions, or ideas you submit may be used by us without restriction or compensation.

7. Privacy

Our Privacy Policy describes how we collect, use, and share personal information. By using the Service, you consent to the practices described in that policy.

8. Subscriptions, Billing, and Auto-Renewal

8.1 Plans and Pricing

CashAI offers subscription plans:

Monthly: $5.99
Yearly: $39.99, billed annually

We may modify pricing in the future; any changes will apply at the next billing cycle and follow Apple's notice rules.

8.2 In-App Purchases (IAP)

All purchases, renewals, cancellations, and refunds are handled solely by Apple through the App Store.

You agree that:

Apple is the merchant of record;
Billing is processed according to your Apple ID payment settings;
We do not process or control payments directly.

8.3 Auto-Renewal

Subscriptions automatically renew unless canceled through your Apple ID settings at least 24 hours before the renewal date.

8.4 Refunds

Refunds are governed exclusively by Apple's App Store refund policies.

You may request a refund through Apple at reportaproblem.apple.com.

We do not provide refunds directly and cannot guarantee Apple's approval.

8.5 Cancellations

You may cancel anytime through your Apple ID settings.

When canceled, service remains active until the end of the current billing period.

Canceling prevents future renewals; it does not trigger refunds.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including:

Merchantability;
Fitness for a particular purpose;
Accuracy of data;
Non-infringement.

We do not guarantee uninterrupted service, error-free operation, data accuracy, or specific outcomes from using the Service.

We are not a bank, broker-dealer, investment advisor, or tax professional.

10. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, special, consequential, or punitive damages.
Our total liability for any claim relating to the Service will not exceed the amount you paid for the Service in the three (3) months preceding the event giving rise to the claim or $100, whichever is greater.
Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the maximum extent permitted.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason. Upon termination:

Your license to use the Service ends immediately.
We may delete your account and data as permitted by law.
Certain provisions of these Terms survive termination (liability, arbitration, IP, etc.).

12. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules.

If arbitration is found unenforceable, exclusive jurisdiction for disputes will be in the state or federal courts located in New Jersey.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing any dispute, you agree to attempt resolution by emailing info@nxtstopny.com.

We will attempt to resolve the issue within 60 days.

13.2 Binding Arbitration

If not resolved, disputes will be settled through binding arbitration administered by the American Arbitration Association (AAA) under the Consumer Arbitration Rules.

Arbitration will occur remotely unless otherwise agreed.
You and NxtStop waive the right to a jury trial.

13.3 Class Action Waiver

All arbitration will occur on an individual basis.

You waive the right to participate in any class, collective, or representative action.

13.4 Exceptions

You may bring a claim in small claims court if eligible.

You may also report issues to government agencies.

14. Miscellaneous

14.1 Severability

If any part of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.

14.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and NxtStop regarding the Service.

14.3 Assignment

We may assign or transfer this Agreement. You may not assign your rights without our written consent.

14.4 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.
